Novartis to Acquire Avidity Biosciences in $12 Billion Deal
Novartis, a global pharmaceutical company based in Switzerland, has agreed to buy Avidity Biosciences, a U.S. biotechnology firm, for $72 per share in cash. The total value of the deal is about $12 billion.
Avidity Biosciences is recognized for its innovation in RNA therapeutics, especially its Antibody Oligonucleotide Conjugates (AOCs™) platform. This acquisition will add three late-stage neuroscience programs to Novartis’s pipeline, focusing on genetic neuromuscular diseases.
Before the completion of the acquisition, Avidity will separate its early-stage precision cardiology programs into a new, publicly traded company named SpinCo.
The acquisition is expected to close in the first half of 2026, as long as SpinCo is successfully separated and other standard closing requirements are met. Novartis anticipates that this deal will support new product launches by 2030 and improve its sales growth outlook.
