HMCIB No.7 Special Purpose Acquisition Co is a special purpose acquisition company, or SPAC. It does not sell a regular product or run a normal operating business. Its job is to raise money from investors, hold that cash in trust, and then find a private company to merge with so that the target can become publicly listed on the stock exchange. The company makes money, if it succeeds, by completing a business combination with an operating company and helping that company enter the public markets. Its main “customers” are really investors who buy shares in the SPAC and private businesses that may want a faster, simpler route to becoming public than a traditional IPO. Until a deal is completed, the company’s value comes from its cash pool, its search process, and the sponsor team’s ability to identify a suitable target. What makes this business model different is that a SPAC is a shell company built for one purpose: finding and merging with another business. It is not meant to grow by selling goods or services itself. Instead, it acts as a bridge between private companies that want public capital and public-market investors who are willing to back the hunt for a future acquisition.
