Insight Acquisition Corp is a special purpose acquisition company, or SPAC. It does not make products or run a traditional business. Instead, it raises cash from investors and holds that money while it looks for a private company to buy or merge with, so that target can become a public company. Because it is a shell company, Insight does not have normal end customers. Its main “customers” are really its investors and the private business it may eventually combine with. It earns money mainly from the cash it holds in trust and, if it completes a deal, from the value created by helping a private company enter the public markets. This business model is different from an ordinary operating company because the main job is deal-making, not selling goods or services. A SPAC acts as a shortcut into the stock market for a private business, which can be attractive for companies that want a faster path to being public than a standard IPO.
