Strong Growth: Vistance Networks delivered core net sales of $1.93 billion in 2025, up 40% year-over-year, and core adjusted EBITDA of $379 million, up 176%.
CCS Sale & Rebranding: The company sold its CCS segment to Amphenol, paid down all existing debt, and rebranded as Vistance Networks, with a special cash distribution of at least $10 per share expected by end of April.
Segment Performance: Aurora Networks saw net sales up 47% and adjusted EBITDA up 138%, driven by DOCSIS 4.0 product demand. Ruckus Networks grew revenue 32% and adjusted EBITDA 210%, helped by Wi-Fi 7 adoption and sales investments.
2026 Guidance: Management projects 2026 core adjusted EBITDA in the $350–400 million range, with low-teen EBITDA growth for Ruckus and lower EBITDA for Aurora due to mix and stranded costs.
Cash Position: Ended Q4 2025 with $923 million in cash and expects $2.6 billion post-CCS sale. Plans to keep a few hundred million for flexibility.
DDR4 Supply Challenge: Memory chip supply is tight, but most cost increases are being passed on to customers; about a $20 million EBITDA impact is factored into 2026 guidance.
