AI Summary
Q4 2025

Guidance met: Q4 results and full-year 2025 net revenue and adjusted EBITDA met the company's prior guidance.

Digital-led: Digital represented ~55% of 2025 net revenue and ~56% of segment profit, and management expects digital to drive high single-digit revenue growth in 2026.

Programmatic momentum: Programmatic made up ~65% of digital advertising and grew +9% in 2025; management says programmatic is pacing ~+20% in Q1 2026.

Audience/AI headwind: Search referral declines (attributed to AI) cut unique monthly visitors to ~40M in 2025 from ~70M in 2024 and drove remnant revenue down to ~$12M (from ~$20M), a ~40% decline.

Remnant outlook: Remnant is expected to fall to ~$9M in 2026 (a ~$3M decline) with the worst year-over-year comps through August, then stabilizing in H2.

Interactive performance: Townsquare Interactive delivered highest-ever segment profit margin (33.6%) in 2025; revenue was slightly down (-0.7% in 2025) and Q1 2026 is expected to decline ~8% as the sales team is rebuilt.

Broadcast steady but declining: Broadcast revenue remains a cash-generator but is not a growth engine: ex-political broadcast net revenue was down ~8% in 2025 and total broadcast revenue declined 12.6%; broadcast segment margin ~26%.

Balance sheet & dividend: Strong cash flow (cash flow from operations $31M; before cash interest $83M), net leverage 5.14x, Board approved $0.20 quarterly dividend ($0.80 annualized, ~ $13M per year) and management plans to maintain it; 2026 guidance: revenue $420M–$440M and adjusted EBITDA $87M–$93M.
